Terms of Service

Agreement

These Terms of Service (“Terms”) govern access to and use of the Munispan™ software-as-a-service platform operated by VenueCore Systems (“Munispan™”, “we”, “us”) at munispan.com and related applications.

By creating an account, starting a trial, or using Munispan™, you agree to these Terms on behalf of the municipality or organization you represent. If you do not agree, do not use the service.

Municipalities must also accept the Municipality Master Service Agreement (published at /legal/municipality-agreement) at signup or first login. That MSA is the binding contract for platform fees, the no-refund rule, and municipality responsibility for resident refunds and chargebacks.

The service

Munispan™ is a multi-tenant municipal ERP platform for US local governments. Features, modules, and pricing may change over time. Product materials describe capabilities for operational use; they are not legal advice and do not certify compliance with any government filing standard.

You are responsible for how your municipality configures and uses the software, including chart of accounts, users, exports, and any filings with state or federal agencies.

Accounts and security

Each staff and platform login must use a unique account. Sharing passwords is prohibited.

Two-factor authentication (authenticator app) is required for all staff and platform owner logins. You are responsible for protecting authenticator devices and recovery codes. We may suspend access if we reasonably believe an account is compromised.

You must keep contact and billing information accurate and promptly remove access for staff who leave your organization.

Trials, fees, and billing

New municipality accounts may receive a free trial as described at signup. After the trial, base platform fees and any applicable module or volume fees apply as shown in platform pricing and your account settings.

Fees are billed according to the commercial terms presented at signup and in platform settings. Volume (percentage) fees apply to collections processed through designated modules where disclosed.

All payments for Munispan™ subscription and platform fees are subject to our Refund Policy (no refunds). See the separate Refund Policy page.

Acceptable use

You may use Munispan™ only for lawful municipal and administrative purposes. You may not reverse engineer the service, probe or disrupt systems, upload malware, misuse another tenant’s data, or use the service to violate law.

We may suspend or terminate access for material breach, non-payment, abuse, or risk to the platform or other customers.

Data and privacy

Our collection and use of personal information is described in the Privacy Policy. You remain responsible for municipal records retention, public records obligations, and any notices required to residents whose data you enter into the system.

Third-party services

Munispan™ may integrate with third parties (for example Stripe for payments, Twilio for SMS, or CivicPet for dog licensing). Those services have their own terms. Online payment processing for residents may require a separate Connect or merchant agreement inside the application — that agreement is separate from these SaaS Terms.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that the service will meet every statutory or audit requirement of your jurisdiction.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENUECORE SYSTEMS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM.

Changes and contact

We may update these Terms by posting a revised version on this page with an updated “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms.
